These Terms of Use govern your conduct associated with the Customer Ratings and Review service offered by Planzy Planner (managed by Katema, sole proprietorship for trade, marketing and services, Trg Zlate Bartl 11a, 48000 Koprivnica), as well as all content provided by you on our social media platforms. By submitting a rating or review to www.planzyplanner.com or by posting any content (including, but not limited to, communications, comments, texts, photographs, videos, sound, music, graphics, suggestions, ideas, reviews, code or any other data or materials, collectively referred to as “Content”) on any of Planzy Planner’s social media platforms (whether through a Facebook, Instagram or Pinterest, collectively “Social Media Platforms”), you agree to be bound by these terms and conditions. Please read these terms and conditions carefully. Please do not submit, display or post any Content on our websites or our Social Media Platforms if you do not agree fully with these terms and conditions. 

By posting or otherwise making available any Content or otherwise responding to or communicating with us on or via our Social Media Platforms or websites (or through branded hashtags) you represent and warrant that you are eighteen (18) years of age or older and that you agree to the following terms and conditions:

• That your comments and Content supplied constitute your personal opinion based on your first-hand experience;
• All content that you supply is true, accurate, current and complete;
• You are the sole author and owner of the content and any intellectual property rights thereto;
• All “moral rights” that you may have in such content have been voluntarily waived by you;
• The content you supply does not breach these Terms of Use; and
• That neither you nor any family member of yours is employed by or has any affiliation with the place you are rating or reviewing, or a competitor of that place.

You further agree and warrant that you shall not submit any content:

• That is known by you to be false, inaccurate or misleading;
• That infringes any third party’s copyright, patent, trademark, trade secret or any other intellectual or proprietary rights or rights of publicity or privacy;
• That breaches any law, statute, regulation or ordinance (including, but not limited to, those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising);
• That discloses private information of any third party, including without limitation, addresses, phone numbers, email addresses, national insurance numbers and credit card numbers, or otherwise violates the rights of any third party, including without limitation, privacy rights;
• That is, or may reasonably be considered to be, defamatory, libelous, hateful, racially or religiously biased or offensive, unlawfully threatening or harassing to any individual, merchant, partnership or corporation;
• That impersonates, or misrepresents your connection with, any entity or person,
• For which you were compensated, paid money or granted any valuable consideration by any person;
• That includes any references to email addresses, contact information or phone numbers, or other websites; or
• That contains any computer viruses, worms or other potentially damaging computer programs or files.

You agree you will be solely responsible for the content of your submission, and any comments you make. You shall be solely liable for any damages resulting from any breach by you of this agreement or from any harm resulting from your submission. Planzy Planner does not represent or warrant that any content submitted by customers are accurate, and or that it is free from mistakes, omissions, falsehoods, defamation, obscenity, pornography or profanity.

You agree to indemnify Planzy Planner (and its officers, directors, employees, affiliates, agents, subsidiaries, joint ventures, and any third-party service provider) and keep them indemnified from any and all losses, damages (actual and consequential), liabilities (whether criminal or civil), claims, disputes, demands, causes of actions, costs and expenses (including reasonable attorneys’ fees and expenses), fines, or penalties of every kind and nature, known and unknown, arising out of, in connection with, or related to: (i) your Content; (ii) any breach of your representations and warranties set out above; and/or (iii) any breach of any law, or your interference with the rights of a third party, including breaches caused by any act, neglect or default of your agents, employees or licensees.

For any Content that you post or submit, please be aware that you grant Planzy Planner and its affiliates, licensees and assigns, a perpetual, irrevocable, non-exclusive, royalty-free, and fully assignable, transferable and sub-licensable right and license to use, reproduce, copy, modify, adapt, edit, delete in part or in its entirety, publish, translate, create derivative works from, publicly display and/or sell and/or distribute such Content and/or incorporate such Content into any form, medium or technology throughout the world in any media (now in existence or hereinafter developed) for any purpose whatsoever (including advertising and commercial purposes) without any compensation to you. You understand that Social Media Platforms are public and that if you post any Content on any of Planzy Planner’s Social Media Platforms, Planzy Planner may use, modify, edit or republish such Content. You also agree that Planzy Planner may use and display publicly on its website and elsewhere the name, town or city, county and country that you submit or Social Media Platform handle or identifier provided in connection with your Content. For the avoidance of doubt, you agree that any submission is non-confidential and non-proprietary and may be used in any manner or medium whatsoever by Planzy Planner. None of the Content that you submit shall be subject to any obligation of confidence on the part of Planzy Planner, its agents, subsidiaries, affiliates, partners or third party service providers and their respective directors, officers and employees. You agree that you have no objection to the publication, use, modification, deletion and exploitation of any submitted Content by Planzy Planner or its licensees, successors and assigns. Planzy Planner may use your email address to contact you about the status of your submission or review and other administrative purposes. Planzy Planner may also share your Content and/or review with our merchants in order that they can address any issues raised by you.

All Content that you submit may be used at Planzy Planner’s sole discretion and you acknowledge that Planzy Planner may choose to provide attribution to your Content at our discretion. Planzy Planner has no obligation to screen or edit any Content supplied by customers, but has the right to do so, and to modify, delete, refuse to post or remove any Content, in whole or in part, from any portion of Planzy Planner’s website or Social Media Platforms, in its sole discretion for any reason whatsoever, including, but not limited to, Content that violates these terms and conditions or is otherwise objectionable. You may not be permitted to edit or delete any Content you have submitted.

If it is determined that you retain moral rights (including rights of attribution or integrity) in the Content, you hereby declare that (a) you do not require that any personally identifying information be used in connection with the Content, or any derivative works of or upgrades or updates thereto; (b) you have no objection to the publication, use, modification, deletion and exploitation of the Content by Planzy Planner or its licensees, successors and assigns; (c) you forever waive and agree not to claim or assert any entitlement to any and all moral rights of an author in any of the Content; and (d) you forever release Planzy Planner, and its licensees, successors and assigns, from any claims that you could otherwise assert against Planzy Planner by virtue of any such moral rights.

These terms shall be governed by and construed in accordance with the laws of the Republic of Croatia without giving effect to principles of conflict of laws. Planzy Planner takes no responsibility and assumes no liability for any Content posted, stored or uploaded by you or any third party, or for any loss or damage thereto, nor is Planzy Planner liable for any mistakes, defamation, slander, libel, omissions, falsehoods, obscenity, pornography or profanity you may encounter. In no event will we be liable hereunder for extraordinary, consequential, indirect or punitive damages, including lost profits. Planzy Planner reserves the right at any time, at its sole discretion, to change or otherwise modify these terms and conditions without prior notice, and your continued use of Planzy Planner’s website or submission of a rating or review signifies your acceptance of the updated or modified terms.
